Terms of Use

The rules governing TKC websites, digital tools, platforms, information, and related services.

Effective date: October 28, 2026

01Introduction and Acceptance

These Terms of Use (“Terms”) govern access to and use of websites, online platforms, informational materials, demonstrations, calculators, digital resources, and related services operated by Tennyson Knapp Consulting (“TKC,” “Company,” “we,” “us,” or “our”).

By affirmatively accepting these Terms, registering for an account, or purchasing services through an acceptance process that presents these Terms, you agree to be legally bound by them. Accessing publicly available website content does not, by itself, establish contractual acceptance where applicable law requires additional evidence of assent.

If you are acting on behalf of a business or organization, you represent that you have authority to bind that organization. Paid services may be subject to separate proposals, subscription agreements, Statements of Work, or Master Services Agreements. Where a separately executed agreement expressly conflicts with these Terms, that agreement controls for the applicable services.

03Business Information and Educational Content

Information published by TKC is intended to help business owners, executives, managers, and professionals understand business challenges, opportunities, systems, and performance improvement methods. Our content may address strategy, finance, operations, marketing, leadership, technology, profitability, and enterprise value.

General information does not constitute individualized legal, tax, investment, audit, employment, or other regulated professional advice. Users should obtain qualified professional guidance where appropriate.

04Business Models, Forecasts, and Simulators

TKC may provide financial calculators, growth models, business simulations, forecasts, and illustrative case studies. These resources are intended for planning, education, and evaluation.

Outputs depend on assumptions, data quality, market conditions, methodology, and other circumstances that may change. TKC does not guarantee that projected revenue, profitability, EBITDA, cash flow, enterprise value, business growth, savings, or operating outcomes will occur.

Users remain responsible for evaluating assumptions and making their own business decisions.

05AI First Operating Approach

TKC uses an AI First philosophy to improve the quality, efficiency, responsiveness, and affordability of its services. We may utilize AI platforms, automation, and qualified technology providers to help perform research, analysis, communication, administration, customer support, training, software development, and authorized business activities.

Providers may include OpenAI, Anthropic, xAI, and other commercially appropriate technology companies. AI generated information may contain errors, omissions, or outdated information. Users should not rely exclusively on AI generated responses when making significant financial, employment, legal, operational, or other consequential decisions.

AI tools are not authorized to make binding commitments on behalf of TKC or a client unless that authority has been expressly granted through an applicable agreement and approved operating controls.

06Professional Assessments and Development Tools

TKC may provide or facilitate professional assessments, leadership training, coaching, employee development programs, and related digital tools. Assessment instruments may include DISC, Motivators, leadership assessments, and other authorized professional development tools.

Assessment results are intended to support appropriate self awareness, communication, collaboration, and professional development purposes. They should not be treated as medical diagnoses or definitive indicators of an individual's worth or employment suitability.

Employment related uses may require additional validation, authorization, and legal compliance. Access to individualized employee information is governed by applicable privacy notices, participation arrangements, and client agreements.

07Intellectual Property

The TKC name, branding, proprietary consulting frameworks, analytical models, educational content, designs, software components, training systems, methodologies, and original materials remain the property of TKC or their respective licensors.

Users may access publicly available information for lawful personal or internal business evaluation. Unless expressly authorized in writing, users may not commercially redistribute, resell, sublicense, reproduce, or otherwise exploit TKC proprietary materials.

Paid client deliverables and commissioned work may be governed by additional intellectual property provisions in the applicable service agreement.

08User Accounts and Security

Users who receive access to protected platforms or online accounts agree to:

  • Maintain accurate registration information.
  • Safeguard passwords and authentication credentials.
  • Use appropriate account security measures.
  • Restrict account access to authorized persons.
  • Promptly report suspected unauthorized access.
  • Avoid accessing information belonging to other users without authorization.
  • Comply with relevant platform security requirements.

TKC may restrict access when reasonably necessary to protect information, users, systems, or legal interests.

09Privacy and Data Protection

Our collection, use, and disclosure of personal information are described in our Privacy Policy. Additional data handling terms may apply to CRM services, professional assessments, employee development systems, and other services involving client controlled information.

Users agree not to submit information they lack authority to disclose. Where applicable, client organizations are responsible for providing required notices and obtaining necessary consents from their customers, employees, and other individuals. TKC will fulfill its own applicable privacy and contractual obligations.

10Communications and Marketing

TKC may offer email, SMS, telephone, appointment scheduling, and other business communication services. Marketing and automated communications are subject to applicable consent and regulatory requirements.

Users must not employ TKC systems to distribute unlawful communications, misleading marketing claims, or messages that violate applicable privacy and telecommunications requirements. Where required, recipients must receive appropriate opt out mechanisms.

11Acceptable Use

Users may not use TKC websites, platforms, or resources to:

  • Violate applicable laws or regulations.
  • Conduct fraud or other deceptive activities.
  • Interfere with system security or availability.
  • Upload malicious software or harmful code.
  • Access accounts or data without authorization.
  • Collect or disclose information unlawfully.
  • Infringe intellectual property or privacy rights.
  • Misrepresent their identity, authority, or consent.
  • Circumvent usage restrictions or technical controls.
  • Employ AI or automation for prohibited activities.

TKC may suspend or restrict access when necessary to address serious security, compliance, or operational concerns.

12Third Party Technology and Business Partners

TKC may recommend, integrate, or coordinate services from independent technology providers and qualified business partners. Such services may include marketing technology, financial software, PEO services, custom AI solutions, business process automation, professional assessments, and organizational development.

Independent providers may require separate agreements and maintain their own terms and privacy policies. TKC may receive commissions, referral fees, or other commercial compensation from certain partners. Relevant financial relationships will be disclosed where required by law or material to an informed client decision.

TKC remains responsible for obligations it expressly accepts and for conduct for which liability cannot lawfully be excluded.

13Availability and Modifications

TKC seeks to maintain reliable and functional online resources. However, websites and digital systems may experience service interruptions, maintenance, technical limitations, or changes in third party platform capabilities.

TKC may modify online features, software configurations, and available resources where reasonably necessary. Specific service availability commitments must be documented in the applicable paid service agreement.

14Disclaimer of Warranties

Except as expressly provided in a separately executed agreement, TKC websites, public resources, demonstrations, and informational tools are provided on an as available basis.

To the maximum extent permitted by law, TKC disclaims additional implied warranties concerning uninterrupted operation, freedom from errors, merchantability, and fitness for a particular purpose. Nothing in these Terms excludes warranties or other protections that cannot lawfully be waived.

15Limitation of Liability

To the fullest extent permitted by applicable law, TKC shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of free public resources, including speculative business losses or anticipated profits.

For claims arising solely from free website access or free informational tools, TKC's aggregate liability shall not exceed $100, except where applicable law prohibits that limitation.

For paid products and services, the applicable Master Services Agreement, subscription agreement, or other signed contract shall govern liability. Nothing in this section excludes liability for fraud, willful misconduct, or other obligations that cannot lawfully be limited.

16Indemnification

To the extent permitted by law, users agree to defend and indemnify TKC against third party claims arising from their unlawful conduct, unauthorized disclosure of information, infringement of intellectual property rights, or material misuse of TKC systems.

This obligation does not apply to the extent a claim is caused by TKC's own unlawful conduct, negligence, willful misconduct, or breach of its contractual obligations.

17Governing Law, Exclusive Jurisdiction, and Venue

These Terms, and any dispute, claim, controversy, or legal proceeding arising out of or relating to these Terms, TKC's websites, digital platforms, services, or the business relationship between the parties, shall be governed by and construed in accordance with the laws of the State of Ohio, United States of America, without regard to conflict of laws principles.

The parties expressly agree that the exclusive jurisdiction and venue for any dispute, claim, litigation, or legal proceeding shall be the state courts of competent jurisdiction located in Lucas County, Ohio, USA, or the United States District Court for the Northern District of Ohio, Western Division, sitting in Toledo, Ohio, USA, where federal subject matter jurisdiction exists.

Each party irrevocably consents to the personal jurisdiction of these courts and waives, to the fullest extent permitted by law, objections based on improper venue, lack of personal jurisdiction, or inconvenient forum.

Neither party shall initiate legal proceedings arising from or relating to these Terms in any other jurisdiction or venue, except where mandatory applicable law requires otherwise.

This provision applies only to parties legally bound by these Terms and does not independently bind individuals who have not validly accepted them. Nothing in this section creates federal subject matter jurisdiction where none exists or limits rights, remedies, regulatory authority, or jurisdictional requirements that cannot lawfully be waived.

If a separate executed agreement contains a governing law or forum selection provision, the more specific executed agreement will control for claims within its scope.

18Changes to These Terms

TKC may update these Terms to reflect changes in business operations, technology, services, or applicable law. Updated Terms will be published with a revised effective date.

Where required by law or the applicable agreement, material changes will be communicated and additional acceptance obtained. Changes will not automatically alter existing signed agreements without the required authorization.

19General Provisions

If any provision is determined unenforceable, the remaining provisions will continue to apply to the extent permitted by law. Failure to enforce a provision does not constitute a waiver of future enforcement.

These Terms do not create an employment, agency, fiduciary, or joint venture relationship between TKC and website users. Any rights and obligations that by their nature should survive termination will continue to apply, subject to applicable law.
